Welcome to Kavric.ai. These Terms of Service explain the rules for using Kavric, including our website, software, apps, tools, dashboards, automations, AI features, customer portals, estimating tools, scheduling tools, invoicing tools, file storage, integrations, and related services.

Kavric is built to help contractors run their business with less chaos. These terms are here to protect you, protect us, and make sure everyone understands what Kavric does and does not do.

By creating an account, starting a subscription, using Kavric, inviting users, or accessing any part of the platform, you agree to these Terms. If you are using Kavric for a company, you confirm that you have authority to accept these Terms for that company.

In these Terms:

  • "Kavric," "we," "us," and "our" mean Kavric.ai.
  • "Customer," "you," and "your" mean the person or business using Kavric.
  • "Users" means employees, contractors, team members, admins, or anyone else you allow to access your Kavric account.
  • "Services" means the Kavric platform and related tools, features, websites, apps, software, and services.

1. What Kavric Is

Kavric is a contractor business operating platform. It may include tools for:

  • Leads and customer management
  • Estimates and proposals
  • Scheduling and job tracking
  • Invoicing and payment workflows
  • Project notes, photos, files, and documents
  • Customer portals
  • Team communication and follow-up tracking
  • Reporting and dashboards
  • AI-assisted drafting, organizing, summarizing, estimating support, and business workflows
  • Integrations with third-party tools

Kavric is software. Kavric is not a contractor, estimator, accountant, attorney, engineer, architect, insurance advisor, tax professional, financial advisor, or project manager for your business.

You are responsible for how you use the information and tools inside Kavric.

2. Your Account

To use Kavric, you may need to create an account and provide accurate business, billing, contact, and user information.

You are responsible for:

  • Keeping account information current
  • Protecting passwords and login credentials
  • Managing who has access to your account
  • Removing users who should no longer have access
  • All activity that happens under your account
  • Making sure your team uses Kavric properly

Each user should have their own login. Shared logins create security problems, billing confusion, and general circus activity. Don't do that.

3. Subscriptions, Seats, and Billing

Kavric may offer free trials, monthly plans, annual plans, seat-based pricing, add-ons, usage-based features, implementation fees, or other paid services.

By subscribing, you agree to pay all fees shown at checkout, listed in your account, included in an order form, or otherwise agreed to in writing.

Unless stated otherwise:

  • Subscription fees are billed in advance
  • Fees are non-refundable
  • Plans renew automatically until canceled
  • Added seats, users, features, or add-ons may increase your bill
  • Removing seats or features may not reduce charges until the next billing cycle
  • Failed payments may result in limited access, suspension, or account cancellation

You are responsible for taxes, payment processing fees, chargebacks, and any fees tied to your account or subscription.

4. Cancellation

You may cancel your subscription through your billing settings if that option is available, or by contacting us at support@kavric.ai.

To avoid renewal charges, cancellation must be completed before your next billing date.

Canceling stops future renewal charges, but it does not automatically refund prior payments, unused time, onboarding fees, setup fees, or current billing period charges unless required by law or agreed by Kavric in writing.

5. Your Data

You own the data you put into Kavric.

This may include customer names, project notes, job photos, estimates, invoices, messages, schedules, documents, pricing, material lists, labor information, files, and other business information.

By using Kavric, you give us permission to store, process, transmit, display, back up, analyze, and use your data as needed to:

  • Provide the platform
  • Run your account
  • Support your users
  • Improve Kavric
  • Troubleshoot issues
  • Build reports and dashboards
  • Power automations and AI features
  • Maintain security
  • Comply with legal obligations

We may also use aggregated or de-identified information to improve Kavric, understand product usage, create benchmarks, improve workflows, and develop better features. Aggregated or de-identified information does not identify you, your company, your customers, or individual users.

6. Backups and Recordkeeping

Kavric is meant to help organize business information, but it should not be your only recordkeeping system for critical documents.

You are responsible for keeping copies of anything your business, contracts, licenses, insurance policies, tax rules, or industry regulations require you to keep.

This includes things like signed contracts, estimates, invoices, lien documents, tax records, customer approvals, warranties, photos, permits, inspection documents, and payment records.

7. AI Features

Kavric may include AI tools that help draft, summarize, organize, recommend, calculate, classify, or automate business tasks.

AI can be useful. AI can also be confidently wrong, which is basically a calculator wearing sunglasses.

You are responsible for reviewing and approving anything created, suggested, summarized, calculated, or drafted by AI before using it.

Kavric does not guarantee that AI outputs will be accurate, complete, current, legal, compliant, profitable, or appropriate for your business.

You should not rely on AI output as professional advice. You are responsible for checking all AI-generated estimates, messages, documents, reports, recommendations, and calculations before sending them to customers, vendors, employees, subcontractors, or anyone else.

8. Estimates, Materials, Labor, and Pricing

Kavric may include tools that help create estimates, proposals, material lists, cost libraries, pricing templates, labor items, markups, invoices, and other project-related documents.

These tools are for business support only.

Kavric does not guarantee:

  • Material costs
  • Labor costs
  • Supplier pricing
  • Vendor pricing
  • Subcontractor pricing
  • Product availability
  • Delivery costs
  • Freight costs
  • Taxes
  • Permit costs
  • Waste factors
  • Measurements
  • Profit margins
  • Markups
  • Project profitability
  • Estimate accuracy
  • Proposal accuracy
  • Invoice accuracy
  • Final job cost
  • Customer payment
  • Project outcome

Material prices, labor rates, supplier availability, shipping costs, taxes, fuel charges, and market conditions can change quickly. Kavric is not responsible if an estimate is too high, too low, missing items, based on outdated pricing, or not profitable.

You are responsible for verifying every estimate, proposal, invoice, change order, material list, labor entry, markup, discount, tax rate, and price before using it.

9. Customer Communications

Kavric may help draft emails, messages, proposals, follow-ups, reminders, invoices, and other customer-facing communication.

You are responsible for reviewing all communications before sending them.

Kavric is not responsible for customer misunderstandings, incorrect messages, missed communications, contract disputes, unpaid invoices, approval issues, or claims caused by how you use the platform.

10. Photos, Files, and Project Content

You are responsible for all photos, videos, files, notes, documents, customer information, and other content uploaded to Kavric.

You confirm that you have the rights and permissions needed to upload, store, use, and share that content.

Do not upload anything that is illegal, infringing, confidential without permission, abusive, obscene, threatening, discriminatory, harmful, or otherwise improper.

We may remove, block, or restrict content if we believe it violates these Terms, creates risk, or may harm Kavric, users, customers, or third parties.

11. Privacy and Personal Information

You are responsible for complying with privacy laws that apply to your business.

If you upload customer information, employee information, jobsite photos, home addresses, phone numbers, emails, payment details, or other personal information, you are responsible for having the right to collect, store, and use that information in Kavric.

You are also responsible for giving any notices or obtaining any consents required by law.

12. Third-Party Tools and Integrations

Kavric may connect with third-party tools such as email providers, calendars, payment processors, accounting software, CRMs, file storage platforms, messaging tools, mapping tools, or other services.

Third-party tools are controlled by their own providers, not Kavric.

We are not responsible for:

  • Third-party outages
  • Third-party data errors
  • Third-party pricing
  • Third-party security issues
  • Third-party terms
  • Broken integrations
  • Changed APIs
  • Lost access caused by third-party services
  • Fees charged by third parties

Your use of third-party tools is subject to their terms and policies.

13. What You Cannot Do

You agree not to:

  • Use Kavric for illegal, fraudulent, harmful, or abusive purposes
  • Share one login across multiple people
  • Try to hack, disrupt, damage, overload, or interfere with Kavric
  • Copy, scrape, crawl, or extract Kavric content without permission
  • Reverse engineer or attempt to access Kavric source code
  • Use Kavric to build or improve a competing product
  • Resell, rent, sublicense, or redistribute Kavric without written permission
  • Upload viruses, malware, or harmful code
  • Upload content that violates laws or third-party rights
  • Misrepresent your identity or company
  • Remove Kavric logos, notices, or ownership markings
  • Use Kavric in a way that violates applicable laws, contracts, licenses, or regulations

If we believe your use creates risk, violates these Terms, harms the platform, or impacts other users, we may suspend or terminate access.

14. Intellectual Property

Kavric owns the platform, software, design, workflows, dashboards, automations, templates, AI features, branding, logos, website content, product names, documentation, and related intellectual property.

You own your business data.

Using Kavric does not give you ownership of Kavric's software, technology, brand, content, or intellectual property.

If you give us suggestions, feedback, ideas, improvements, or feature requests, we may use them without restriction or compensation.

15. Confidential Information

Both sides may have access to non-public information.

Your Customer Data is your confidential information. Kavric's software, product plans, pricing, technology, business information, and non-public materials are Kavric's confidential information.

Each side agrees to use reasonable care to protect the other side's confidential information and not use it outside the purpose of providing or using Kavric.

Confidential information may be disclosed if required by law, court order, subpoena, or government request.

16. Platform Changes

Kavric will continue to grow and change.

We may add, remove, update, rename, redesign, limit, or discontinue features at any time. We may also change pricing, plans, usage limits, storage limits, integrations, or availability.

We will try to make changes in a reasonable way, but we do not guarantee that any specific feature, integration, workflow, or layout will always remain available.

17. Availability and Support

We work to keep Kavric available and useful, but no software platform is perfect.

Kavric may be unavailable because of maintenance, updates, hosting issues, internet problems, cyberattacks, third-party service failures, bugs, or events outside our control.

Support is available at support@kavric.ai.

We may offer different support levels depending on your plan.

18. No Professional Advice

Kavric does not provide legal, tax, accounting, construction, engineering, architecture, insurance, employment, financial, safety, compliance, or licensing advice.

Any templates, estimates, reports, recommendations, AI outputs, or business workflows inside Kavric are for general operational support only.

You are responsible for making final business decisions and getting professional advice when needed.

19. Disclaimers

Kavric is provided "as is" and "as available."

To the fullest extent allowed by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, and uninterrupted service.

We do not guarantee that Kavric will:

  • Be error-free
  • Be available at all times
  • Meet every business need
  • Prevent mistakes
  • Increase revenue
  • Reduce costs
  • Improve profit
  • Win jobs
  • Collect invoices
  • Avoid disputes
  • Produce accurate estimates
  • Produce accurate AI outputs
  • Keep third-party tools connected
  • Replace professional judgment

You use Kavric at your own discretion and risk.

20. Limitation of Liability

To the fullest extent allowed by law, Kavric will not be liable for indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages.

This includes damages related to:

  • Lost profits
  • Lost revenue
  • Lost savings
  • Lost business opportunities
  • Lost data
  • Business interruption
  • Cost overruns
  • Incorrect estimates
  • Incorrect invoices
  • Material cost changes
  • Labor cost changes
  • Customer disputes
  • Failed integrations
  • Unpaid invoices
  • Project delays
  • Project losses
  • Replacement software or services

To the fullest extent allowed by law, Kavric's total liability for any claim related to the Services will not exceed the amount you paid to Kavric during the twelve months before the event giving rise to the claim.

21. Indemnification

You agree to defend, indemnify, and hold Kavric harmless from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney fees, arising from:

  • Your use of Kavric
  • Your Customer Data
  • Your violation of these Terms
  • Your violation of law
  • Your estimates, proposals, invoices, contracts, or communications
  • Your work for customers
  • Your relationship with customers, vendors, suppliers, employees, subcontractors, or third parties
  • Your use of AI outputs
  • Your use of third-party integrations
  • Your business decisions made using Kavric

22. Suspension or Termination

We may suspend or terminate access to Kavric if:

  • Payment is overdue
  • You violate these Terms
  • Your use creates security risk
  • Your use may harm Kavric or others
  • You use Kavric for unlawful or fraudulent activity
  • We are required to do so by law
  • Continued access creates legal, technical, financial, or operational risk

After cancellation or termination, your right to use Kavric ends.

We may delete Customer Data after a reasonable period unless we are legally required to keep it or have agreed otherwise in writing.

You are responsible for exporting or saving anything you need before cancellation or termination.

23. Governing Law

These Terms are governed by the laws of the State of Texas, unless another law is required to apply.

Before filing a claim, both sides agree to make a reasonable, good-faith effort to resolve the issue informally.

Unless required otherwise by law, any legal action related to these Terms or Kavric must be brought in a court located in Texas.

24. Force Majeure

Kavric is not responsible for delays or failures caused by events outside our reasonable control.

This includes natural disasters, power outages, internet failures, hosting failures, cyberattacks, labor disputes, war, terrorism, government actions, payment processor failures, third-party service failures, supply issues, and other events beyond our control.

25. Assignment

You may not assign or transfer these Terms without Kavric's written permission.

Kavric may assign these Terms as part of a merger, acquisition, sale, financing, restructuring, transfer of assets, or similar business transaction.

26. Updates to These Terms

We may update these Terms from time to time.

If we make changes, we may notify you by email, in-app notice, website posting, or other reasonable method.

Your continued use of Kavric after updated Terms become effective means you accept the updated Terms.

27. Entire Agreement

These Terms, along with any applicable order form, checkout page, invoice, subscription terms, privacy policy, or written agreement with Kavric, make up the full agreement between you and Kavric regarding the Services.

If part of these Terms is found unenforceable, the rest will remain in effect.

If we do not enforce part of these Terms right away, that does not mean we waive our right to enforce it later.
